Mr. Freed has a broad depth of transactional experience, handling matters ranging from routine commercial transactions and disputes to $500 million acquisition, finance and restructuring transactions.
From his experience as a seasoned partner in a premier San Francisco law firm to his role as the General Counsel for one of the San Francisco Bay Area’s largest and most rapidly growing private companies, Mr. Freed has honed his rare talent for achieving practical business results in transactions and litigation. He has keen insight and experience in structuring deals to benefit his clients, while being highly effective in managing the cost of transactions.
Because of his pragmatic business minded approach to litigation, Mr. Freed is frequently retained to provide strategic analysis and management oversight on complex multi-million dollar litigation matters. His superb ability to rapidly grasp the issues crucial to liability and damages frequently enables matters to be resolved more quickly and in a more favorable and cost-effective manner.
He has a unique understanding from the client’s perspective of what it means to make day-to-day decisions to grow and manage a business. His goal is to help clients quantify legal decisions so that they become cost-benefit business decisions.
Mr. Freed has an AV rating from Martindale-Hubbell, the highest rating for general ethical standards and legal ability. He has been an active member of the State Bar of California since 1982. He previously served as Chair of the Franchise Law Committee of the Business Law Section of the State Bar of California, where he was instrumental in initiating changes to California’s franchise investment laws. In addition, he is a member of the American Bar Association Forum Committee on Franchising and has attended almost every Forum on Franchising Annual Meeting since 1985. He is a former member of the International Franchise Association’s Legal/Legislative Committee and served on the Advisory Board of the Council of Franchise Suppliers. He has been a featured speaker on numerous occasions at both the International Franchise Association Legal Symposium and the American Bar Association Forum on Franchising, as well as many other conferences. Mr. Freed is also the author of the chapter entitled "Third-Party Debt Financing of Franchisors and Franchisees" in the recently released American Bar Association book on "Collateral Agreements in Franchising".
